General Terms and Conditions (AGB)

1. general 1.1 These General Terms and Conditions (GTC) apply to all contracts concluded between CXMXO UG (haftungsbeschränkt), Hansaring 1, 50670 Cologne, Germany (hereinafter “Seller”), and the customer (hereinafter “Customer”) via the online store on the website https://onlinemarketing.one. 1.2 Deviating terms and conditions of the Customer shall not be recognized unless the Seller expressly agrees to their validity in writing.

2 Subject matter of the contract 2.1 The seller offers various marketing tools (hereinafter referred to as “tools”) for sale via its online store. 2.2 The Tools are made available digitally and the Customer receives a license to use the Tools after the conclusion of the purchase.

3 Conclusion of contract 3.1 The presentation of the tools in the online store does not constitute a legally binding offer, but an invitation to order. 3.2 By clicking on the “Buy” button, the customer submits a binding offer to purchase the tools in the shopping cart. 3.3 The contract is concluded when the seller accepts the customer’s order by sending an order confirmation by e-mail.

4 Delivery and use 4.1 The tools shall be delivered digitally by providing a download link or by e-mail. 4.2 The customer receives a simple, non-transferable license to use the tools for his own purposes. 4.3 The customer is not entitled to resell, rent, lease or otherwise transfer the tools to third parties for use.

5 Prices and terms of payment 5.1 All prices are final prices and include VAT. 5.2 Payment can be made by PayPal, credit card or other payment methods offered in the online store.

6.1 Customers who are consumers are entitled to a right of withdrawal in accordance with the statutory provisions. 6.2 The right of withdrawal expires for contracts for the delivery of digital content (including software) that is not delivered on a physical data carrier if the seller has begun to execute the contract after the customer has expressly agreed that the seller will begin to execute the contract before the expiry of the withdrawal period and the customer has confirmed his knowledge that he loses his right of withdrawal by his consent with the beginning of the execution of the contract. 6.3 The right of withdrawal is excluded if the customer is an entrepreneur within the meaning of § 14 BGB.

7 Warranty and liability 7.1 The statutory warranty rights shall apply. 7.2 The seller assumes no liability for the compatibility of the tools with the customer’s IT environment. The customer is responsible for checking the technical requirements prior to purchase. 7.3 The seller is only liable without limitation for intent and gross negligence. 7.4 The seller shall only be liable for slight negligence in the event of a breach of a material contractual obligation, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the customer may regularly rely. In this case, the Seller’s liability shall be limited to the foreseeable damage typical for the contract. 7.5 The seller is not liable for damage caused by improper use of the tools or by failure to follow the instructions for use. 7.6 The seller is not liable for the loss of data or for damage caused by technical faults or improper handling of the tools by the customer.

8 Amendments to the GTC 8.1 The seller reserves the right to amend these GTC at any time. The customer will be notified of any changes in text form. 8.2 If the customer does not object to the amendments within 14 days of receipt of the notification of amendment, the amendments shall be deemed to have been accepted.

9.1 The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods. 9.2 If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the customer and the seller shall be the registered office of the seller. 9.3 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
